PART 4 OF 4: Executing the Sale

A stage-by-stage roadmap from listing to closing.

A well-prepared practice still needs a disciplined process to reach a successful closing. The roadmap below organizes a California medical practice sale into clear stages, from bringing the practice to market through the post-closing transition.

Stage 1 — Preparation and positioning

  • Assemble and normalize financials and organize corporate and compliance records.

  • Confirm the practice's professional corporation status and CPOM-compliant ownership.

  • Identify the practice's value drivers and address weaknesses.

Stage 2 — Marketing and the letter of intent

  • Engage qualified, eligible buyers and protect confidentiality with an NDA.

  • Negotiate a letter of intent covering price, structure, and timeline.

  • Confirm the buyer's ability to hold or lawfully control the practice under California rules.

Stage 3 — Diligence and the definitive agreement

  • Respond to buyer diligence with organized, complete documentation.

  • Negotiate purchase price allocation for tax efficiency.

  • Address representations, warranties, indemnification, and a properly scoped sale-of-goodwill non-compete.

Stage 4 — Closing and transition

  • Coordinate license, permit, and enrollment matters, and any buyer credentialing timelines.

  • Handle patient notification and records transfer consistent with HIPAA and California law.

  • Manage staff and provider transition and any agreed post-closing support or employment.

  • Confirm final allocation, payment terms, and effective dates for insurance and covenants.
