Corporate Formation Package

Healthcare practices in California can't be formed like ordinary businesses. Licensed professionals are required to form a professional corporation that complies with the Moscone-Knox Act, the corporate practice of medicine doctrine, and the rules of their specific licensing board — including restrictions on who can own shares, what the corporate name must include, and what the Bylaws must say. Generic online filing services don't address any of this; they file a stock corporation with off-the-shelf bylaws that were never written for a healthcare practice.

This is where generic online filing services fall short. They file the same template corporation for everyone, paired with stock bylaws that were never written with your license, your practice model, or California's professional corporation rules in mind. The result is often an entity that is technically on file but isn't actually structured to lawfully operate a healthcare practice — a problem that frequently surfaces during lease negotiations, insurance credentialing, lender review, or a future sale of the practice.

Our flat-fee Corporation Formation Package is built specifically for California healthcare professionals. We handle every required filing from Articles of Incorporation through your EIN and complete corporate records kit, and we draft your Bylaws custom to the healthcare industry— including share transfer restrictions, officer eligibility, and the provisions your licensing board expects to see. You leave with a properly formed entity and an audit-ready corporate book, fit for your healthcare practice,

Fractional Legal Counsel (Ongoing Support):

Virtual In-House Support Without the Overhead

Think of fractional counsel as having an experienced healthcare attorney on your team without the cost of hiring one full-time. Each month, you receive a defined allotment of legal work — contract reviews, employment guidance, policy drafting, regulatory questions, and the ongoing legal needs of a healthcare practice — for a flat, predictable fee. Instead of reactive hourly billing each time an issue comes up, you have a long-term legal partner who already understands your practice, your compliance landscape, and your goals.

Three monthly tiers are available, designed for practices at different stages: from steady foundational support to enterprise-level oversight for practices managing expansion, employment complexity, or increasing regulatory exposure.

Foundational Support ($895) | Strategic Compliance ($1,850) | Enterprise Counsel ($3,200)

What to Expect for Hourly Matters & Timekeeping:

At West Coast Health Law Group, we believe clients should understand how legal fees are calculated before work begins. Our goal is to provide clear, transparent billing so you know what to expect and can make informed decisions about your legal needs.

For matters billed hourly, attorney and staff time is recorded in one-tenth (0.1) of an hour increments, which equals six-minute units. This means that each individual task—such as a phone call, email, document review, legal research, contract drafting, or client communication—is recorded and billed in these standard increments.

For example, a short phone call or email may be billed as 0.1 hours, while a longer document review or drafting project will be billed based on the actual time spent, rounded to the nearest 0.1 hour.

Invoices are issued periodically and include detailed line-item descriptions showing the date, timekeeper, hourly rate, time charged, and a brief description of the work performed. This allows you to review the work completed and understand how your legal fees were calculated.

Hourly services are billed separately from any flat-fee packages, such as our Corporation Formation Package or other clearly defined flat-fee services. Unless otherwise stated in writing, flat fees are not credited against hourly work and hourly fees are charged separately for services outside the scope of a flat-fee package.
